Terms of Service

Template — have this reviewed by a lawyer before launch. These terms govern your use of Invoiz. They are a starting point, not legal advice.

1. The service

Invoiz, operated by Fidei BV ("Invoiz", "we"), lets Belgian and EU businesses create, send and receive electronic invoices over the Peppol network and by email, manage contacts, and keep required accounting records. By creating an account you agree to these Terms.

2. Eligibility & accounts

You must be a business (or acting on behalf of one) and able to enter a binding contract. You are responsible for the accuracy of your company details and for keeping your login credentials secure. To send invoices or register on Peppol, your company must pass our verification (KYB); we may refuse or revoke verification.

You agree not to use Invoiz to send unlawful, fraudulent or misleading invoices, to impersonate a business you do not represent, to abuse the API or Peppol network, or to attempt to disrupt or gain unauthorised access to the service. We may rate-limit, suspend or terminate accounts that violate these Terms.

5. Your content & legal records

You retain ownership of your data (invoices, contacts, documents). You grant us the rights needed to operate the service (store, process, transmit over Peppol/email). Issued invoices are legal records: once issued they are immutable and retained for the period required by law, and cannot be deleted even if you close your account.

6. The API

API keys act with your company's authority. Keep them secret; you are responsible for activity under your keys. We may rate-limit or revoke keys to protect the service. The API is provided on the same terms as the rest of the service.

7. Availability & third parties

We aim for high availability but do not guarantee uninterrupted service. Delivery over Peppol depends on third-party access points and the recipient being reachable; email delivery depends on third-party providers. We are not responsible for delays or failures caused by those networks or by incorrect recipient details you provide.

8. Disclaimers & liability

Invoiz is provided "as is". We are not your accountant or tax adviser; you are responsible for the correctness and legal compliance of your invoices and VAT treatment. To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.

9. Termination

You may stop using the service and delete your account at any time (subject to legal retention of invoice records). We may suspend or terminate access for breach of these Terms or non-payment.

10. Governing law

These Terms are governed by Belgian law, and disputes are subject to the competent courts of Belgium, without prejudice to mandatory consumer-protection rules.
